Terms of Service
1. About Vybridge
Vybridge ("we", "us", "the platform") operates a website advertising marketplace. It connects advertisers with publishers / website owners who list advertising slots on websites they control. The publisher controls its website and advertising inventory. The advertiser controls and provides its creative and destination. Vybridge provides marketplace, booking, payment-coordination, and serving technology according to the applicable product flow. We do not own publisher websites or inventory, we are not a party to the underlying advertising arrangement between an advertiser and a publisher, and we do not create, endorse, or vouch for any advertisement placed through the platform. Vybridge does not offer Instagram, TikTok, YouTube, Telegram, podcast, or other influencer/social advertising inventory.
2. Account roles
New accounts on Vybridge have exactly one of the following roles:
- Advertiser — books advertising slots on publisher websites and pays for the placement.
- Publisher — lists advertising slots on a website they own or are authorized to manage, reviews submitted creatives, and may receive payment for eligible placements under Vybridge's settlement rules.
A publisher may be a company, creator, blogger, media organization, developer, or individual. Eligibility is determined by ownership or authorized management of a website advertising surface, not by publisher type.
Historical accounts that used a retired social-channel role, if any, exist only to complete existing obligations and are not offered to new users.
You are responsible for the accuracy of the information on your account and for all activity that happens under it.
3. Publisher and advertiser responsibilities
By using Vybridge you agree to provide accurate account, site, and payment information, and not to use the platform to harass, defraud, or mislead any other user.
Publishers must:
- Control, or have authority to sell advertising on, the listed website and inventory.
- Keep the Vybridge integration and booked slot operational during booked periods.
- Maintain valid payout information where payment is expected.
- Provide truthful Site and Slot information.
- Not artificially generate or manipulate impressions or clicks.
- Comply with applicable law.
Advertisers must:
- Have the rights needed to use the submitted creative.
- Provide a lawful destination URL.
- Provide truthful, non-malicious advertising.
- Comply with publisher and site restrictions and applicable law.
- Satisfy payment obligations for bookings they make.
Booking a placement does not guarantee marketing performance, including sales, conversions, click-through rate, or revenue.
You may not attempt to circumvent the platform's fee, payment, or payout mechanisms.
4. Payments and settlement
Advertiser payments are processed using Stripe. A platform charge is not legal escrow, and Vybridge does not provide escrow, escrow holding, or escrow dispute protection.
Where a listing uses a fixed price, that publisher price is authoritative and cannot be negotiated through a price proposal. Where a listing uses Your offer, there is no publisher-set booking price: the advertiser proposes a total amount for the selected dates and geography; a pending proposal does not reserve inventory; the publisher may accept or reject; acceptance freezes the agreed booking economics.
Some placements have a publisher-defined minimum booking duration. Not every date range is bookable.
Publisher payout requires valid payout readiness (including a connected payout account where required). Publisher payment becomes eligible according to Vybridge's applicable settlement rules after the booked advertising placement has validly begun serving and required payment and payout conditions are satisfied. Settlement is not guaranteed immediately at first impression, is not paid merely because a placement has ended, and may be withheld or paused where payment, refund, dispute, compliance, or payout-readiness conditions require it.
5. Platform fee
Any applicable Vybridge platform fee is charged on top of the placement amount, paid by the advertiser, and shown before payment. Publisher revenue is not reduced by the advertiser platform fee under the current Booking economics.
The applicable marketplace fee is determined by the value of the current advertising purchase, not by accumulated advertiser spend. The current tiers are 12% below €5,000, 9% from €5,000 through below €20,000, and 7% from €20,000. The fee is displayed before payment.
6. Serving
A booked placement can begin serving after the applicable payment, creative, inventory, targeting, and serving requirements are satisfied. Vybridge does not promise that an advertisement will go live at the moment of creative approval, or that delivery is unconditional.
Country targeting uses server-side IP geolocation and is approximate. Country-specific serving fails closed when country cannot be resolved. Worldwide inventory follows Worldwide serving rules. Targeting does not prove a visitor's physical location or identity.
7. Prohibited content
The following may never be submitted as an ad creative or slot description, and will be rejected and may result in account suspension:
- Content that is illegal in the advertiser's or publisher's jurisdiction.
- Content that is deliberately misleading, deceptive, or makes false claims.
- Adult or sexually explicit content that is not clearly and accurately labeled as such.
- Malware, phishing pages, or anything designed to compromise a visitor's device or accounts.
8. Refunds and payment issues
Refunds, if any, follow the applicable booking and payment state and Vybridge's then-current payment rules. Vybridge does not guarantee a full refund, an automatic refund, a refund at any time, or a refund because an advertisement underperformed.
Where a booking is cancelled, rejected, or expired under the applicable flow before it is eligible to serve, Vybridge may refund the advertiser according to those rules. After a placement has validly begun serving, refunds are limited to cases where the platform's payment terms expressly require them. Vybridge does not currently provide a general post-transfer reversal product.
Vybridge may investigate and hold or pause settlement where payment, refund, chargeback, fraud, or compliance issues exist. We do not promise guaranteed publisher protection, guaranteed advertiser protection, or automatic chargeback resolution.
9. Limitation of liability
Vybridge provides the marketplace infrastructure "as is." We are not responsible for the content, quality, or performance of any advertisement or website listed on the platform, nor for any indirect, incidental, or consequential damages arising from your use of it. Our total liability to you for any claim related to the platform is limited to the fees you paid us in the twelve months preceding the claim.
10. Payment processing
Advertiser charges and publisher payouts on Vybridge are processed by Stripe, a PCI-compliant payment processor. We never see or store your full card details, IBAN, bank account number, or identity-document images. Stripe processes marketplace payments; that processing is not legal escrow.
If you earn website-referral rewards, Stripe may require identity and payout information before those rewards can be paid. Vybridge does not collect bank account numbers, IBANs, routing numbers, or identity-document images; Stripe-hosted onboarding collects that information. Payout availability depends on Stripe verification and whether your connected-account country is supported. Setting up a payout account does not by itself pay referral rewards. Tracked referral rewards are a Vybridge ledger classification, not cash paid. Referral payout execution is not yet enabled. Stripe processes identity and payout information; Stripe does not handle all taxes on your behalf.
